Tom, I think you are referring to the type of real termination where a multi-member LLC becomes a single-member LLC. Rev. Rul. 99-6 8 states that the partnership will terminate under §708(b )(1)(A) because the entity no longer has two or more members. I think Dan is right on the money here. And attorneys already understand the need to 'keep it legal', so you won't have that problem. No need to keep the bank account, just send letter to the relevant parties stating that the receivable has been transferred from XYZ LLC to Bob X, PLLC [or PA, or Corp], etc. and where to send their payments.

The IRS form is a fillable pdf, but doesn't calculate anything, while the program forms have to be prepared for not just how they look but how they work. So they have to come after the IRS releases their 'official' form.

I'm no expert on OH taxes, but in answer to your "asked me if she still needs to file year after year." I'd just point out to her that she has to have a legal domicile somewhere, so having it there where she's exempt may be a wise thing to hang on to.

My choice would be that, going forward, every new law should have to include the elimination of two old laws ! And every new regulation should require the elimination of three old regulations.

But is it really worth the cost and the stress and the time? Even if they did win in Tax Court, it takes years and legal expense. Better ways to show a client 'appreciation' that don't generate an automatic audit, IMHO.

I agree also. And on a new purchase, I would have combined all the acquisition costs to bring it into usable condition into at most 3 lines.

Rev. Proc. 2015-14 is only 393 pages, btw. While Rev. Proc. 2015-13 is a mere 103 pages. -
I will only add that the pastor's denomination can make a difference. Many Pentecostal churches do issue 1099's because of how they structure their relationship with pastors. By all means, google the denomination for a link to how they advise their pastors.

Yes, I went through it two years ago, and we had just had our 50th anniversary. How did I handle it? I cried, I even argued a little, but then I realized I was focusing on ME, rather than on him. I never wanted to lose him, but he was hurting unnecessarily and once I focused on that, the right decision was clear to me. Remember, too, that whether you turn off the machines or not, she's going on. But she will still be in your heart. Trust me, you will still feel her. -

Rita, I am reading it as Jack does, that IF the church buys the policy, then it's treated like a group plan, not taxable to the employer. BUT if the pastor bought the plan, and the church is just reimbursing him for the premiums, it's taxable.

Judy, I don't think this is a subject that can be discussed without recognizing the political angle that is an integral part of everything Treasury does and says. I agree it should not devolve into a political thread, but what you are asking is a bit extreme.
